Terms of Service

Effective August 1, 2026Version 3.1Applies to all TagniFi subscriptions and trials

These terms govern access to the TagniFi platform, Excel add-in, API and data. Please read them — subscribing, installing the add-in or using a trial means you accept them.

01

Agreement to These Terms

These Terms of Service are a binding agreement between TagniFi, LLC ("TagniFi", "we") and the organization or individual that subscribes to or otherwise accesses the Service ("Customer", "you"). By creating an account, installing the Excel add-in, calling the API or starting a trial, you accept these terms on behalf of your organization.

If a signed order form, master services agreement or enterprise addendum exists between us, that document controls where it conflicts with these terms.

02

The Service

The Service includes the TagniFi web application, the Excel add-in, PowerComps, Spread, the API, industry and economic research, and the underlying datasets, together with any documentation and support we provide.

We may add, modify or discontinue features. If we materially reduce functionality you paid for during a paid term, your remedy is a prorated refund of the affected fees.

03

Accounts and Named Users

Subscriptions are licensed per named user. Each named user requires their own credentials, and credentials may not be shared, pooled, rotated between people, or used by an automated process on behalf of multiple people.

You are responsible for activity under your accounts and for keeping credentials secure. Tell us promptly at [email protected] if you believe an account has been compromised.

04

Fees, Billing and Renewal

Subscriptions are billed annually in advance at the rates on your order form or published pricing page. Fees are non-refundable except as stated in these terms. Seats added mid-term are billed on a prorated basis.

Subscriptions renew automatically for successive one-year terms unless either party gives written notice of non-renewal at least thirty days before the term ends. We may adjust renewal pricing with at least sixty days notice.

05

Trials and Evaluations

Trial access is provided for evaluation only, may be limited in coverage or export volume, and may be suspended or ended at any time. Data accessed during a trial is subject to the same restrictions as paid use and may not be used in a client deliverable unless you convert to a paid subscription.

06

License and Permitted Use

Subject to these terms and payment of fees, we grant you a non-exclusive, non-transferable, revocable license during your subscription term to access the Service and to use the data internally in your professional work — including in valuation reports, fairness opinions, expert reports, pitch materials and client deliverables prepared by your firm.

Limited excerpts of data may appear in a client deliverable when attributed to TagniFi, provided the deliverable is not itself a data product and the recipient cannot extract a substantial portion of the dataset from it.

07

Restrictions

You may not resell, sublicense, redistribute, publish or otherwise make the data available as a standalone product or feed; use the Service to build, train or improve a competing dataset, model or service; scrape, bulk-download or systematically extract data except through interfaces we provide for that purpose; or remove attribution, source references or proprietary notices.

Automated access is permitted only through the API under a plan that includes it, and only within documented rate limits. Reverse engineering, load testing without consent, and circumventing entitlements are prohibited.

08

Third-Party Sources

Certain data is derived from public filings, regulatory sources and third-party licensors. Those sources may impose their own restrictions, which we will pass through to you in writing where applicable. We do not warrant the accuracy or completeness of third-party source material.

09

Customer Data and Confidentiality

Financial statements, layouts, lists and other materials you upload remain yours. You grant us a limited license to host, process and display that material solely to operate the Service for you, including running the Spread mapping workflow.

We do not use your uploaded material to train models that serve other customers, and we do not sell it. Each party will protect the other party's confidential information with at least reasonable care.

10

Intellectual Property

TagniFi retains all right, title and interest in the Service, the datasets, our normalization methodology, taxonomies and tags, and all related intellectual property. No rights are granted except those expressly stated here.

11

No Investment or Professional Advice

The Service delivers data and analytics, not advice. Nothing in the Service is investment, legal, tax, accounting or valuation advice, and nothing constitutes an offer or solicitation to buy or sell any security. Professional judgment about the use, adequacy and interpretation of the data remains yours.

12

Warranties and Disclaimers

We warrant that the Service will perform materially as documented. Except for that warranty, the Service and all data are provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.

Financial data is compiled from filings and other sources and may contain errors, restatements or omissions. You are responsible for verifying figures material to your conclusions.

13

Limitation of Liability

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility.

Each party's total aggregate liability arising out of these terms is limited to the fees paid or payable by you for the twelve months preceding the event giving rise to the claim. These limits do not apply to your payment obligations, your breach of the Restrictions section, or either party's indemnification obligations.

14

Indemnification

We will defend you against third-party claims that the Service, used as permitted, infringes a U.S. intellectual property right, and pay resulting damages finally awarded. You will defend us against third-party claims arising from your material uploaded to the Service or your use of the data in violation of these terms.

15

Suspension and Termination

We may suspend access on notice for non-payment, suspected credential sharing, security risk or breach of the Restrictions section, and will restore access promptly once the issue is resolved.

Either party may terminate for material breach that remains uncured thirty days after written notice. On termination, your license ends, API keys are revoked, and you must stop using the data — except that deliverables already issued to your clients may remain in circulation.

16

Changes to These Terms

We may update these terms. If a change is material, we will give at least thirty days notice by email or in-product before it takes effect for your subscription. Continued use after the effective date constitutes acceptance.

17

Governing Law and Disputes

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The parties will attempt to resolve disputes in good faith; unresolved disputes will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and each party consents to that jurisdiction.

18

General

These terms, together with any order form, are the entire agreement between the parties and supersede prior discussions. Neither party may assign them without consent, except in connection with a merger or sale of substantially all assets. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver.
